FANZO ("FANZO.com", the FANZO website or FANZO app, or any other subsequent domain names as applicable) is operated and ran by Rail Media Inc., a Delaware corporation with mailing address at P.O. Box 575, Monson, MA 01057, United States ("Rail Media," "we," "our," or "us"). Rail Media Inc. is a wholly-owned subsidiary of FANZO Inc., a Delaware corporation, and is part of a corporate group whose ultimate parent is organized under the laws of England and Wales.

"You" means you, the user of FANZO, and "Your" shall be interpreted accordingly. "We," "Us," and "Our" mean Rail Media Inc. "FANZO" shall have the meaning set out above. "User Information" means the personal details you may provide to Us via FANZO. "Users" means the users of FANZO collectively and individually as the context admits. "Website" means a site on the World Wide Web.

Terms and Conditions

These Terms and Conditions apply to Your use of the website located at www.fanzo.com and its related pages ("FANZO"). By using FANZO You agree to be bound by the Terms and Conditions set out below.

If You do not wish to be bound by these Terms and Conditions, You should not use FANZO. We may change these Terms and Conditions from time to time and so you should check them regularly. Material changes will be communicated by posting the updated terms on FANZO and, where appropriate, by email or in-app notice. Your continued use of FANZO after any change is deemed acceptance of the revised terms.

Acceptable Use

You agree that any use by You of FANZO shall comply with the following conditions:

You will not copy, download, reproduce, republish, frame, broadcast, or transmit in any manner any material on FANZO except as strictly necessary for Your own personal, non-commercial home use.

You will abide by the specific rules of any competition or promotion that You participate in on or via FANZO. You will not create, or attempt to create, multiple accounts.

You will not do anything that adversely affects the operability or security of FANZO or causes unreasonable inconvenience, offense, or disruption to our staff.

Access to FANZO is restricted to (a) individuals who, in a personal capacity for their own private interests, wish to access information regarding the location of venues showing televised matches and other sporting events and/or take advantage of other promotions offered by FANZO, and (b) bars, restaurants, and similar venues. No use of the Website is permitted by any commercial organization to verify information, data, or databases as to matches, venues that have subscribed to the FANZO service, and/or other information on FANZO.

Content from our Website that is NOT available via our specific APIs cannot be used for any commercial purpose, either individually or in aggregate, or subsequently republished without Rail Media's explicit, written consent.

Third Party Websites

You acknowledge and agree that We are not responsible for the availability of any third party websites or material You access through FANZO.

We do not endorse and shall not be held responsible or liable for any content, advertising, products, or services on or available from such websites or material.

Any dealings between You and any third party advertisers or merchants found on or via FANZO, including payment for and delivery of products, services, and any other terms, conditions, warranties, or representations associated with such dealings, are made between You and the relevant advertiser or merchant. We are not responsible or liable for any loss or damage of any kind incurred as a result of any such dealings.

Intellectual Property

All copyrights, trademarks, database rights, and all other intellectual property rights in all material or content supplied as part of FANZO remain at all times vested in Us or Our licensors.

You are permitted to use this material or content only as expressly authorized in writing by Us or Our licensors. You will not, and You will not assist or facilitate any third party to, copy, reproduce, transmit, distribute, frame, commercially exploit, or create derivative works of such material or content. You further undertake not to extract from, reproduce, copy, adapt, store, or download any information regarding matches being shown in venues or the identity of such venues to create another database or information resource, whether or not such database or information resource would infringe our copyright or database right. You also undertake not to use FANZO to check or verify any similar databases or information resources to that of FANZO, whether created, managed, or operated by you or a third party.

If You become aware of any such distribution or commercial exploitation, You agree to notify Us immediately.

DMCA / Copyright Complaints

If you believe that material accessible on or from FANZO infringes your copyright, you may request its removal by sending a notice under the U.S. Digital Millennium Copyright Act ("DMCA"), 17 U.S.C. § 512, to our designated agent. Your notice must include:

A physical or electronic signature of the copyright owner or an authorized agent;
Identification of the copyrighted work claimed to have been infringed;
Identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it (such as a URL);
Your contact information, including name, address, telephone number, and email;
A statement of your good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on its behalf.

At no point are these logos intended to indicate a partnership between FANZO, or any of FANZO's partners or clients, and the logo(s) in question. Our use of these logos is grounded in the principles of fair use under U.S. copyright law (17 U.S.C. § 107) and the nominative fair use doctrine under U.S. trademark law:

Purpose and Character: Our intention is informational and non-commercial, primarily to provide up-to-date information about upcoming and recent events/matches on our platforms, partners, or client platforms.
Nature of the Work: While acknowledging the creativity of the logos, we emphasize that they serve as well-known identifiers for their respective sports teams, competitions, or bodies.
Amount and Substantiality: Only the essential portions of the logos are featured, retaining their core essence without alteration.
Effect on the Market: Our use neither substitutes for nor adversely affects the demand for the original logos. Their context on our platforms, partners, or client platforms does not diminish their original value or function.

FANZO IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

We will not be responsible or liable for the content, accuracy, timing, or reliability of any information or statements contained within FANZO.

We will endeavor to provide FANZO using reasonable care, but we rely on subscriber venues to upload correct and up-to-date information.

Except as required by law, We do not warrant the quality, accuracy, or fitness for a particular purpose of FANZO, and do not promise that the match information or material contained in FANZO, or any functions contained in FANZO or its servers, will operate without interruption or delay, be error-free, be free of viruses or bugs, or be compatible with any other software or material.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL RAIL MEDIA, ITS AFFILIATES, OR THEIR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF FANZO. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO FANZO OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO RAIL MEDIA IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Nothing in these Terms excludes or limits our liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any other liability that cannot be lawfully excluded or limited under applicable law. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

Misuse of the FANZO Service

Venues are able to promote their venue with the most appropriate wording they wish to use. Since this is free text, we ask that all our customers promote their venues in a responsible manner.

You are responsible for ensuring that any material you post, and any activity or communication you make in connection with the FANZO service, does not breach any applicable law, infringe the intellectual property, privacy rights, or other rights of any person or entity, or appear to be false, libelous, offensive, defamatory, abusive, discriminatory, obscene, unreliable, or misleading.

We reserve the right to suspend or terminate any customer's or user's access to the FANZO service, and/or to remove, or require the customer to remove, material posted on FANZO, if the relevant customer or material appears to us, or to a complainant, to be in breach of any provision of this Agreement. In addition, we reserve the right to suspend or terminate any customer's or user's access to the FANZO service if the relevant user is abusive or communicates offensive messages or images to another customer. Where we reserve a right in this Agreement, it does not mean we will be obliged to exercise it.

Any attempts to circumvent the system via force, scripts, automated devices, multiple accounts, or any other means will not be accepted and will be deemed a direct violation of this Agreement. We reserve the right to indefinitely ban or remove any person found to be in breach of this Agreement.

If any third party sites are linked to from the FANZO service, this does not mean that we endorse or have any responsibility for the site in question or anything that appears on it.

Intellectual Property: You acknowledge that all copyrights, trademarks, database rights, and other intellectual property rights in and relating to the FANZO service (including material contributed by customers) are owned by Rail Media Inc. or its licensors. Therefore, no one may copy, distribute, display publicly, or create any derivative work from the FANZO service, or any match or venue information or other material found on the FANZO service, unless properly licensed to do so by us.

Excluded Loss

We will not be liable to you or any third party for any loss not reasonably foreseeable by us when this Agreement commences.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. You and Rail Media agree that the exclusive jurisdiction and venue for any dispute arising out of or relating to this Agreement or your use of FANZO shall be the state and federal courts located in Hampden County, Massachusetts, and you consent to personal jurisdiction in those courts. Nothing on this page affects any non-waivable statutory rights you may have under applicable law.

Personal Information

Information about our customers is kept by us in accordance with our Privacy Policy. The information is treated as confidential and recorded in a secure manner. We do not make any such information available to a third party except as described in our Privacy Policy or where we are obligated to do so by law. Third-party payment processors (such as Stripe) are not managed by us and are subject to their own terms and privacy policies.

Operation of the FANZO Service

Rail Media reserves the right to withdraw or modify aspects of the FANZO service, or the entirety of it, where we have legal or commercial reasons to do so. There may also be times when the FANZO service becomes inaccessible as a result of technical difficulties experienced by us or on the Internet. We will use reasonable skill and care to overcome these difficulties where they are within our control.

Submitting Ratings and Reviews of a Venue

We offer ratings and reviews to enhance the experience of our community by helping users make informed decisions. By surfacing the best sports bars and venues based on genuine feedback, we aim to foster a trusted environment where standout locations are highlighted and continuously improve based on your experiences. Thank you for contributing to our community by submitting ratings and reviews for venues. To ensure a fair and respectful environment for all users, we ask that you adhere to the following terms and conditions when posting content on our platform:

Eligibility

You must be at least 21 years old to submit a review. By submitting a review, you confirm that you have personally visited the venue you are reviewing.

Content Standards

Detailed guidelines can be found at https://www.fanzo.com/en/review-guidelines. Reviews must be honest, accurate, and reflect your personal experience at the venue. Written feedback should not contain offensive, abusive, or discriminatory language. Content that is defamatory, obscene, or unlawful is strictly prohibited.

Do not include personal or sensitive information, such as addresses, phone numbers, or financial details, about yourself or others.

Star Ratings and Written Feedback

You may submit a star rating and/or written feedback for the venue. Star ratings should accurately reflect your overall experience. Written feedback should provide constructive and relevant information to help others make informed decisions.

Prohibited Activities

Posting false, misleading, or fabricated reviews is not allowed. Reviews must not be submitted in exchange for incentives, such as discounts, money, or other benefits, unless explicitly disclosed in the review in accordance with the U.S. Federal Trade Commission's Endorsement Guides (16 C.F.R. Part 255). Do not spam the platform with repetitive or irrelevant reviews.

Intellectual Property

By submitting a review, you grant us a perpetual, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, publish, and distribute your content on our platform and in related promotional materials. You confirm that your review is your original work and does not infringe on any third-party rights, including intellectual property rights.

Moderation and Removal

Standards and moderation guidelines can be found at https://www.fanzo.com/en/review-guidelines. We reserve the right to moderate and remove any reviews that violate these terms and conditions or are otherwise deemed inappropriate. Reviews may also be removed if they are suspected to be fraudulent or if requested by legal authorities. Users submitting reviews that violate these terms may be permanently banned from the platform.

Responsibility and Liability

You are solely responsible for the content of your reviews. We disclaim liability, to the fullest extent permitted by law, for any harm or damages resulting from the content of user-submitted reviews.

Reporting Issues

If you believe a review violates these terms, please report it to us using the designated reporting mechanism on the platform.

Changes to These Terms

We reserve the right to update or modify these terms and conditions at any time. Continued use of the platform after changes are posted constitutes your acceptance of the updated terms.
